Terms of service

These terms are an agreement between you and NILEDE TECHNOLOGIES PRIVATE LIMITED ("we", "us"), which operates Agency Cloud. By creating an account or using Agency Cloud you agree to them. If you use Agency Cloud for a company, you confirm that you are allowed to accept these terms for that company.

1. The service

Agency Cloud is an online workspace for invoices, estimates, bills and reports; leads, proposals and customers; and employees, attendance, leave and payroll. What each company can use depends on its plan, as shown on our pricing page.

2. Accounts

  • You must give accurate details and keep them up to date.
  • You are responsible for keeping your sign-in details safe and for what happens under your account. We recommend turning on two-factor authentication.
  • The owner of a company workspace controls who is invited, which role each person has, and the company's plan.
  • You must be at least 18 years old to use Agency Cloud.

3. Plans, trials and payment

  • The free plan has no time limit and needs no card. It includes the limits shown on our pricing page.
  • Paid plans are charged per company, monthly or yearly, in advance, through Razorpay. Prices exclude taxes such as GST, which are added where they apply.
  • Paid plans may come with a free trial. If you do not cancel before the trial ends, the plan continues as a paid subscription.
  • Subscriptions renew automatically at the end of each billing period until cancelled.
  • We may change prices. We will tell account owners at least 30 days before a change affects them, and it applies from the next billing period.

4. Changing or cancelling a plan

You can change or cancel your plan at any time from the billing page. When you cancel, the paid plan stays active until the end of the period you have paid for. Moving to a smaller plan never deletes your data: anything over the new limits stays readable, and only creating more is blocked. Refunds are covered by our Refund Policy.

5. Your data

Your company owns the data it puts into Agency Cloud. You give us permission to store and process it only to provide, secure and support the service. Our Privacy Policy explains how we handle personal data. You are responsible for having the right to enter the data you add, including details about your employees and customers, and for the accuracy of documents you send, such as invoices, proposals and payslips.

6. Acceptable use

You agree not to:

  • break any law or anyone else's rights while using Agency Cloud;
  • send spam, or use the service to deceive or defraud anyone;
  • upload malware, or try to break into, overload or reverse-engineer the service;
  • try to see or use another company's data;
  • resell the service without our written agreement.

We may suspend a company or account that breaks these rules, to protect the service and other users. Where we reasonably can, we will tell you first.

7. Payroll, tax and legal content

Agency Cloud helps you calculate pay, taxes on invoices and leave, using the settings you enter. It is a tool, not tax, legal or accounting advice. You remain responsible for checking figures and meeting your own legal and tax obligations.

8. Availability and changes

We work to keep Agency Cloud available and secure, but we do not promise it will be uninterrupted or error-free. We may improve, change or remove features. If we remove a feature you pay for, we will give reasonable notice.

9. Our intellectual property

Agency Cloud, its software, design and brand belong to us. These terms give you the right to use the service while your account is active; they do not transfer any ownership to you.

10. Ending the agreement

You can stop using Agency Cloud and close your workspace at any time. We may end or suspend access if these terms are seriously or repeatedly broken, or if payment is not made. After closing, you can ask for your data within a reasonable period before it is deleted, as described in our Privacy Policy.

11. Liability

To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profits, revenue or data, and our total liability for any claim is limited to the amount your company paid us in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.

12. Governing law

These terms are governed by the laws of India. The courts at Dombivli, India have exclusive jurisdiction over any dispute.

13. Changes to these terms

We may update these terms. We will change the date at the top and tell account owners about important changes before they take effect. Continuing to use Agency Cloud after that means you accept the updated terms.
